Carbonless Forms

These Terms and Conditions (“Terms”) govern your use of the website located at carbonlessforms.com (the “Site”) and any quote, order, or purchase of goods or services from Graphics Mart, LLC, doing business as Carbonless Forms (“Carbonless Forms,” “we,” “us,” or “our”). By requesting a quote, submitting artwork, placing an order, or otherwise using the Site, you (“Customer,” “you”) agree to be bound by these Terms. If you do not agree, do not use the Site or place an order.

These Terms apply to purchases made for business, commercial, or organizational purposes. If you are ordering on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

1. Our Services

Carbonless Forms prints custom carbonless (NCR) business forms, including 2-part and 3-part sets, snap sets, continuous forms, sequentially numbered forms, and full-color forms, produced at our own in-house printing facilities. Orders are placed through a quote request (by phone, email, or the Site’s quote form), not an automated online checkout. All products are custom-manufactured to your specifications based on artwork, instructions, and other information you provide.

2. Quotes and Orders

Quotes are estimates based on the information and files you provide at the time of the request and may change if your specifications, quantities, artwork, or finishing options change. A quote is not binding until confirmed in writing (including by email) and is not an order until you approve a paper proof as described in Section 5.

We reserve the right to decline any order, quote, or artwork submission at our sole discretion, including where we cannot verify your identity, believe the order is fraudulent, or the content violates Section 13 (Prohibited Uses).

3. Customer-Submitted Artwork and Content

You are solely responsible for the artwork, files, logos, text, and other content you submit (“Customer Content”). By submitting Customer Content, you represent and warrant that:

• You own the Customer Content or have all necessary rights, licenses, and permissions to use it and to have it reproduced by us;
• The Customer Content does not infringe, misappropriate, or violate any third party’s copyright, trademark, trade secret, right of publicity or privacy, or any other intellectual property or proprietary right; and
• The Customer Content does not violate any applicable law or these Terms.

We may, at no charge, clean up, redraw, or make minor technical adjustments to Customer Content to make it suitable for carbonless printing (for example, adjusting fine type or heavy solids so lower plies remain legible). We are not responsible for reviewing Customer Content for accuracy, legality, or infringement, and we are not liable for the content of any form we print at your direction. See Section 8 (Indemnification).

4. Pricing, Minimums, and Payment

• Minimum order: 250 sets per order.
• Published pricing: Pricing shown on the Site applies to the specific product, quantity, and specifications described and is subject to change without notice. Custom specifications, larger orders, and 3-part orders outside published tiers are quoted individually.
• Taxes: Applicable sales, use, or other taxes will be added to your invoice where required by law.
• Payment terms: Payment is due as specified on your invoice or quote confirmation. We accept the payment methods identified at the time of quoting. Production will not begin until payment (or agreed deposit) is received, unless otherwise stated in writing.
• Additional charges: Optional services such as additional numbering positions, back printing, perforation, padding, rush production, or same-day service are billed as quoted and are in addition to the base price.

5. Proofs and Approval

Before production, we will provide a paper proof reflecting your ply order, ply colors, numbering, and layout. Production does not begin until you approve the proof in writing (including by email or verbal confirmation we confirm back to you in writing). By approving a proof, you confirm that it is correct in all respects, including spelling, numbering sequence and starting number, ply order, and content, and you accept responsibility for any errors that were present in the approved proof and were not caused by a production error on our part.

Changes requested after proof approval may delay production and may incur additional charges.

6. Production and Turnaround

Standard turnaround times (including paper proof delivery and production schedules) described on the Site or in your quote are estimates, not guarantees, and may be affected by order volume, press scheduling, artwork issues, or events outside our control (see Section 12, Force Majeure). Rush and same-day production options are subject to press capacity and are not guaranteed to be available for every order.

7. Shipping and Delivery

We ship from the facility nearest to your delivery address using the shipping method identified at the time of order. Free ground shipping applies to qualifying orders as stated on the Site at the time of your order and may be modified at any time. Estimated delivery dates are not guaranteed. Risk of loss and title to products pass to you upon delivery to the carrier, except that this does not limit our obligations under Section 10 (Our Guarantee).

8. Indemnification

You agree to indemnify, defend, and hold harmless Carbonless Forms, its officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Content, including any claim that it infringes a third party’s rights; (b) your use of products we print at your direction; or (c) your breach of these Terms.

9. Cancellations, Changes, and Returns

Because products are custom-manufactured to your specifications, orders generally cannot be canceled, returned, or refunded once you have approved a proof and production has begun, except as provided under Section 10 (Our Guarantee) or as required by law. Orders may be canceled prior to proof approval; any costs already incurred (such as artwork preparation) may be deducted from any refund.

10. Our Guarantee

We stand behind what we print. If a completed order does not match the paper proof you approved — including ply order, ply colors, numbering sequence, or legibility caused by a production error on our part — we will reprint the order at no charge and cover ground freight both directions. To request a reprint under this guarantee, contact us within 30 days of delivery.

This guarantee covers deviations from your approved proof caused by our production process. It does not cover: (a) errors present in the proof you approved; (b) Customer Content issues (including third-party rights issues); (c) damage occurring after delivery to the carrier due to circumstances outside our control; or (d) normal, minor variations inherent to commercial printing that do not materially affect the usability of the forms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARBONLESS FORMS’ TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO AN ORDER OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. IN NO EVENT WILL CARBONLESS FORMS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.

Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Force Majeure

We are not liable for delays or failures to perform resulting from causes beyond our reasonable control, including natural disasters, equipment failure, labor disputes, supply chain disruptions, or shortages of paper or other materials.

13. Prohibited Uses

You may not use our services to produce forms that: (a) are counterfeit, fraudulent, or designed to impersonate another business, government agency, or individual; (b) infringe any third party’s intellectual property or other rights; (c) violate any applicable law or regulation; or (d) we reasonably believe are intended to facilitate illegal activity. We reserve the right to refuse or cancel any order that we believe violates this section, with or without notice.

14. Intellectual Property

All content on the Site — including text, graphics, logos, and design — is owned by or licensed to Carbonless Forms and is protected by applicable intellectual property laws. Except as necessary to request a quote or place an order, you may not copy, reproduce, or distribute Site content without our prior written consent. As between you and us, you retain ownership of your Customer Content; you grant us a license to reproduce it solely to fulfill your order.

15. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Site or submitting an order, you consent to that collection and use.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a revised effective date. Changes apply prospectively to orders placed after the update; the Terms in effect at the time of your order govern that order.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or an order will be resolved in the state or federal courts located in Bell County, Texas, and you consent to the personal jurisdiction of those courts.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with any order confirmation or invoice, constitute the entire agreement between you and Carbonless Forms regarding your order. Our failure to enforce any provision is not a waiver of that provision.
